Terms of Service

By accessing deployhelm.com, creating an account, submitting a demo request, downloading Helm Toolkit, or using any Helm product, you agree to these Terms of Service.

If you are using Helm for a company, you confirm that you have authority to bind that company. If you do not agree, do not use the services.

Our Privacy Policy explains how we handle personal information. It is part of how we operate the services, but these terms are the contract for use of Helm.

Helm may include:

• The public website and content at deployhelm.com, including pricing, implementation, and contact pages.
• The hosted Helm platform for Bitcoin mining operations — fleet, power, pool, and related operational workflows.
• Helm Toolkit, a free desktop utility that runs on your local network.
• Demo, trial, and sandbox environments, including demo.deployhelm.com.

Features can change as we improve the product. We may add, modify, or retire functionality, and we will try to avoid surprising operators who depend on Helm in production.

Some parts of Helm require an account. You must provide accurate information, keep credentials confidential, and tell us promptly if you believe an account has been compromised.

You are responsible for activity under your accounts and for making sure only authorized people on your team have access. We may suspend access if we reasonably believe there is a security risk, abuse, or a material breach of these terms.

You agree not to:

• Use Helm or Helm Toolkit on networks, miners, or systems you are not authorized to access or manage.
• Probe, scan, or attack Helm infrastructure, other customers, or third-party systems except as expressly allowed in a written security assessment with us.
• Reverse engineer, resell, or provide the hosted platform as a service to third parties except as permitted by law or a written agreement.
• Upload malware, attempt to bypass security or usage limits, or interfere with the operation of the services.
• Use the services in violation of applicable law, including export, sanctions, or privacy laws.

Mining operations involve power, hardware, and production risk. Helm is an operations tool. You remain responsible for site safety, electrical work, and decisions you make from the data Helm shows you.

You retain ownership of the operational and business data you submit to the hosted platform — for example fleet inventory, site structure, pool settings, and related records ("Customer Data").

You grant Helm a limited license to host, process, and display Customer Data solely to provide, secure, and improve the services, and as otherwise described in the Privacy Policy.

You represent that you have the rights needed to provide Customer Data to Helm, including any credentials, worker names, or facility information you enter.

Helm Toolkit is a free desktop utility for commercial use. It is designed to run on your LAN and does not require a Helm account. We grant you a personal, non-exclusive, revocable license to install and use the software on machines you control.

You may not redistribute modified builds as if they were official Helm software, remove proprietary notices, or use the Toolkit to access equipment you do not have permission to manage.

The Toolkit is provided as-is. Local scans, configuration pushes, reboots, and similar actions can affect production hardware. Review changes before you apply them.

Self-serve demos and sandboxes are for evaluation. They may contain sample data, have limited uptime, and can be reset or withdrawn at any time. Do not put production credentials, private keys, or real operator secrets into a public demo.

A discovery call or paid deployment may include a scoped environment for your fleet. Those engagements follow the commercial terms we agree in writing.

The public website and Helm Toolkit are free. The hosted Helm platform is priced around fleet capacity and the modules you enable, as described on our pricing page. Specific fees, term, and scope are set in an order form or services agreement.

Unless that agreement says otherwise, fees are non-refundable once a period has started, and you are responsible for any taxes that apply to your purchase.

Helm, Helm Toolkit, the website, documentation, and related designs remain our intellectual property (or that of our licensors). These terms do not transfer ownership of our software to you.

If you send feedback — including through the in-product feedback widget — you grant us a perpetual, royalty-free license to use it to improve Helm. You do not have to send feedback, and we do not have to adopt it.

Except as expressly stated in a signed commercial agreement, the services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent allowed by law.

We do not warrant that Helm will be uninterrupted, error-free, or that it will prevent lost hashrate, downtime, or energy cost. You should not treat Helm as a substitute for on-site judgment, electrical safety practices, or your own monitoring.

To the fullest extent allowed by law, Helm will not be liable for indirect, incidental, special, consequential, or lost profits damages, or for lost production, power penalties, or data loss. Our total liability for a claim relating to the services will not exceed the fees you paid us for the services in the twelve months before the claim, or one hundred U.S. dollars if you have not paid fees.

Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the maximum extent permitted.

These terms apply until you stop using the services or we terminate access. You may stop using Helm at any time. We may suspend or end access if you materially breach these terms, if required by law, or if we discontinue a free or demo offering.

Paid subscriptions follow the term and termination rules in your order form. After termination we may delete or restrict access to Customer Data according to that agreement and our retention practices.

We may update these terms from time to time. The "Last updated" date at the top will change when we do. Continued use after an update means you accept the revised terms. For material changes that affect paying customers, we will provide additional notice when we reasonably can.

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Texas, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or the security of the services.

If a provision is unenforceable, the rest remains in effect. These terms, together with any applicable order form and the Privacy Policy, are the entire agreement for the services they cover. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Our failure to enforce a provision is not a waiver. Headings are for convenience only.
